SEC Approves American Stock Exchange LLC Rule Change Defining Public Offering for Shareholder Approval

The Securities and Exchange Commission has approved a proposed rule change by the American Stock Exchange LLC, which adopts commentary to Section 713 of the Securities Exchange Act of 1934 to define 'public offering' for purposes of shareholder approval rules.
