SEC Clarifies Average Weekly Trading Volume Calculation Under Rule 144 and Rule 10b5-1 Trading Plan Termination

The Securities and Exchange Commission (SEC) has issued guidance on calculating the average weekly trading volume of securities under Rule 144(e), taking into account the lack of trading on September 10, 2001. The SEC also clarified that terminating a Rule 10b5-1 trading plan between September 11, 2001 and September 28, 2001, does not necessarily indicate a lack of good faith or a plan to evade insider trading rules.
