SEC Proposes Amendments to Rule Regarding Officer and Director Transactions

The Securities and Exchange Commission is issuing an alternative proposal to amend the rule exempting certain employee benefit plan transactions from the short-swing profit recovery provisions of the Securities Exchange Act of 1934, and soliciting comment on other issues related to Section 16, including reporting requirements and possible legislative rescission.
