Securities of Nonmember Insured Banks

The Federal Deposit Insurance Corporation (FDIC) is amending its securities disclosure regulations. The amendments relate to registration and reporting requirements for non-member insured banks with securities registered under section 12 of the Securities Exchange Act of 1934 (Exchange Act or Act). Section 12(i) of the Exchange Act requires that the FDIC issue regulations substantially similar to those of the Securities and Exchange Commission (SEC) or publish its reasons for not doing so. These amendments are intended to comply with section 12(i) and to update the regulations. The SEC has amended its Exchange Act regulations, relating to Small Business Initiatives, Executive Compensation Disclosure, and Regulation of Communications Among Shareholders. The FDIC is amending its Exchange Act regulations to incorporate, in substance, the SEC changes noted above.
